TechSkills Acquires Edgia, Inc.

Dallas, Texas – April 17, 2003 – TechSkills LLC, one of the largest privately held education companies in the United States, announced today that it has acquired certain important business assets and technical capabilities of Edgia, Inc. of Dallas.

TechSkills operates over 30 Learning Centers across the country using its unique Facilitated Learning Method, which combines the best elements of traditional classroom-based education with the latest in distance learning methods. The Company specializes in IT certification and business skills training, and has over 20,000 active students and alumni.

“This acquisition marks a significant point in the continuing evolution of TechSkills,” said Kevin Paulsen, President and CEO of TechSkills. “The capabilities offered by Edgia’s knowledge transfer technology provides a natural synergy with TechSkills’ innovative learning model that will fuel continued future growth of our larger organization.”

Formed in 2001 through the merger of NetCertification and Aegis Learning Group, Edgia is a premier solutions provider for online knowledge exchange between corporations and their employees, clients, suppliers, partners and shareholders.

“Integrating the Edgia capabilities with those of TechSkills provides an immediate ability to reach new clients and markets that will fuel rapid growth,” said Jon Phillips, former President and COO of Edgia, who will join TechSkills. “TechSkills’ education expertise and extensive physical presence create exciting new delivery options for the Edgia knowledge transfer solutions from which current and future clients will benefit.”

Edgia services will be provided through a business unit of TechSkills, managed by Mr. Phillips, who will report to Mr. Paulsen. Edgia’s proprietary Content Management System (LMS) will be integrated with TechSkills’ Facilitated Learning Method (FLM). TechSkills will also integrate Edgia’s extensive courseware library with its own diverse IT certification curriculum, providing immediate access to its consumer, government and corporate client base.
